Good Corporate Governance

PGAS Solution initiated Good Corporate Governance (GCG) implementation since 2013, marked with a draft preparation of the guideline. The draft was formalized in 2018 as company regulations which subsequently stated in Good Corporate Governance PT PGAS Solution Number: P-001/100.08 dated 08 August 2018.

As required, the 2016 Company’s code of conduct has been legalized as Business and Work Ethics Guidelines Number : P-002/100.08 dated 08 August 2018.

On 12 February 2018, PGAS Solution assembled Company Cultural Committee to represent its commitment in governance improvement

In 2019, PGAS Solution implemented GCG assessment through self-assessment for soft structure GCG in Subsidiary/Affiliates conducted by PGN as the holding.

The assessment evaluates the availability of soft structure GCG policies in Subsidiary/Affiliates. Based on the assessment, the Company aims for a more improved GCG implementation in the following yea


PRINCIPLES OF GCG


The GCG concept recognized and implemented by PGAS Solution are those fitting with its vision and goals. Each division and functioning link of the company is responsible towards the implementation of GCG. The general principles of GCG are as the following:

  • Transparency
  • Accountability
  • Responsibility
  • Independency
  • Fairness

These principles are adapted by PGAS Solution into:


Transparency in Tasks and Financial Reports


Information disclosure as a part of transparency is realized through the clarity of task details and responsibilities of each PGAS Solution employee, which was created accordingly to the vision and purposes, values, and goals of PGAS Solution. Material information can be directly, clearly, and objectively provided by PGAS Solution be it needed in the annual financial report accordingly to the affective regulations.


Accountability in Internal Supervising System


The internal supervising system at PGAS Solution is the supervision of all PGAS Solution activities. This supervising process applies to all units within PGAS Solution. The internal supervising system applies to authority, authorization, verification, reconciliation, performance evaluation, division of duties, and the security of company assets.


Responsibility in Business Ethics and Work Ethics


Each PGAS Solution employee must endeavor to comply with the principles of business ethics and work ethics, or the code of conducts which are the norms and values that are set as the standard of every PGAS Solution employe’s conduct. These norms and values can help sustain the company’s good name in the public eye. For that reason, the company’s ethical code must be consistently applied to every activity carried out by PGAS Solution.

In arranging the code of conduct, PGAS Solution has made sure to align its content with the company’s vision, mission, and corporate culture, so as to support the synergy between the activities in PGAS Solution, its budgets, and the affective regulations.

Compliance towards the code of conduct will establish a good corporate culture and integrity with all PGAS Solution relations. The Company’s code of conduct is set in a separate document which is disclosed and flexible, hence can be refined accordingly to the change and relevance of times. The Board of Directors are allowed to evaluated the code of conduct through a team by which they have formed.


Prevention of a Conflict of Interest for the Sake of Independency


A conflict of interest is a situation where an individual or a company has the power to exploit a certain interest due to the position or authority of that said individual or company. In relation to PGAS Solution’s business activities, a conflict of interest is a conflict between personal interest and general obligation or professional obligation.

Related to conflict of interest, the Board of Commissioners, the Board of Directors, and all PGAS Solution personnel are not allowed to perform any action that results to a conflict of interest with PGAS Solution, among others:

  • Receiving and/or accepting Gratification.
  • Taking personal profit.
  • Carrying out duplicate work with a third party that has financial ties to PGAS Solution, and therefore may cause material loss for PGAS Solution.

Upholding Integrity as a Means of Fairness


A quality company that displays the spirit of honesty or integrity is needed in maintaining good relations between PGAS Solution and its Shareholders and stakeholders. By maintaining a working environment that is professional, honest, open, caring, and responsive towards inevitable change, a synergy between PGAS Solution, the Shareholders, and stakeholders will be created. In order to maintain the integrity in the management of PGAS Solution, appropriate actions in running, directing, and controlling the business activities in PGAS Solution is required. Existing problems related to PGAS Solution business activities are wisely resolved with high integrity.


GCG ROADMAP



The GCG principles are implemented as the bases for PGAS Solution in carrying out their activities and responsibilities. The implementation of the GCG is expected to guide PGAS Solution to go accordingly with its vision and mission. The goals of implementing GCG are as follows:

  • The achievement of PGAS Solution business continuity through a management based on transparency, accountability, responsibility, independency, and fairness.
  • Encouraging PGAS Solution Organs in making decisions and carrying out their actions based on good moral value while abiding to the Articles of Association and affective regulations.
  • Ensuring the management of PGAS Solution to be more professional, transparent, efficient, and putting into use the function of the PGAS Solution work structure.
  • Improving the image of PGAS Solution in order to achieve national competitiveness with the means to increase market trust to enhance investment flow and sustainable national economic growth.


SISTEM MANAJEMEN ANTI PENYUAPAN

PT PGAS Solution senantiasa berkomitmen untuk menjadi mitra yang dapat diandalkan dalam jasa pengembangan infrastruktur. Di dalam menjalankan komitmen ini, kami bertekad menerapkan prinsip-prinsip Tata Kelola Perusahaan Yang Baik (Good Corporate Governance) dan Sistem Manajemen Anti Penyuapan secara konsisten dan terpadu di seluruh unit bisnis dalam rangka mencapai tujuan, visi dan misi Perusahaan melalui upaya:


  1.   3. Memastikan penerapan sistem manajemen anti penyuapan, sesuai dengan kebutuhan proses bisnis untuk pemenuhan layanan kepada mitra dan stakeholder dalam rangka pencapaian tujuan Perusahaan.
  4. Menerapkan perilaku beretika sebagai budaya kerja dalam setiap kegiatan termasuk penegakan disiplin maupun hukum sebagai upaya pembentukan Solutionation.
  5. Menyediakan Tata Kelola Perusahaan yang mendukung penerapan sistem manajemen anti penyuapan, termasuk pemberian tanggung jawab, kewenangan dan independensi Fungsi Kepatuhan Anti Penyuapan.
  6. Meningkatkan kesadaran anti penyuapan di semua fungsi dan tingkatan serta kepedulian, itikad baik dan keyakinan tanpa rasa takut dari tindakan balasan.
  7. Menerapkan sistem manajemen anti penyuapan yang berbasis prinsip pengelolaan risiko.

SISTEM PELAPORAN PELANGGARAN (WHISTLEBLOWING SYSTEM)

Sebagai perwujudan dari prinsip Tata Kelola Perusahaan yang Baik (Good Corporate Governance principle), PGAS Solution berkomitmen untuk membangun Sistem Pelaporan Pelanggaran (Whistleblowing System) yang mengelola pengaduan atau penyingkapan mengenai perilaku melawan hukum, perbuatan tidak etis/ tidak semestinya, pelanggaran terhadap kebijakan dan/ atau Peraturan Perusahaan, perbuatan atau perilaku yang dapat menyebabkan kerugian baik bersifat materiil atau immaterial.

Sistem Pelaporan Pelanggaran (Whistleblowing System) berfungsi sebagai sarana dalam pemecahan, pengungkapan pelanggaran atau tindak kecurangan dalam Perseroan. Hal tersebut dilakukan dengan tujuan untuk menjaga kinerja PGAS Solution agar tetap berada dalam jalur yang baik, sesuai dengan Peraturan Perundang – undangan yang berlaku.

Pedoman Sistem Pelaporan Pelanggaran (Whistleblowing System) ini terus disempurnakan mengikuti perkembangannya. Yang terbaru tertuang dalam Pedoman Whistleblowing System Nomor P-002/100.09 Revisi 01 yang berlaku sejak tanggal 4 Oktober Tahun 2021.

PERLINDUNGAN PELAPOR:


Sistem Pelaporan Pelanggaran (Whistleblowing System) berfungsi sebagai sarana dalam pemecahan, pengungkapan pelanggaran atau tindak kecurangan dalam Perseroan. Untuk itu, PGAS Solution berkewajiban untuk melindungi Pelapor pelanggaran, yang meliputi perlindungan kerahasiaan identitas Pelapor serta perlindungan keamanan pihak Pelapor dan Keluarga. PGAS Solution juga berkewajiban untuk memberikan perlindungan bagi Pelapor Internal Perseroan dari upaya balas dendam (retaliation) yang meliputi:

  1. Pemecatan tidak adil
  2. Penurunan jabatan atau pangkat
  3. Pelecehan atau diskriminasi
  4. Catatan yang merugikan pada personal data record

Corporate Social Responsibility

PT PGAS Solution also actively contributes to the community through CSR or Corporate Social Responsibility programs. The CSR program is run as a form of caring for the environment, the community, as well as efforts to share happiness over the achievement of PT PGAS Solution.

Pelayanan kesehatan, keselamatan, dan keamanan kerja bagi para pekerja di PGAS Solution adalah perwujudan dari CSR terkait ketenagakerjaan.

Environment CSR

Together with PT PGN, the Company’s Performance Performance Program in the Field of Environment (PROPER) has managed to achieve a blue rating by implementing it at PGN’s stations.

Social CSR

PGAS Solution also contributed to the BUMN Mengajar program from the BUMN Ministry, as well as the Tali Kasih program, SOTR, to various financial assistance for community activities.

Customer CSR

Untuk pelanggan, PGAS Solution mengoptimalkan CSR lewat Service Enhancemet (Peningkatan Pelayanan). Lewat survei rutin, PGAS Solution berupaya memahami kebutuhan pelanggan dan meningkatkan kepercayaan.

CSR Medical Staff

PGAS Solution has participate to contribute and caring to this pndemic situation, by support to supply the Medical Mask and Personal Protective Equipment to the medical Staff who became the first garde in the COVID-19 patient treatment.
